01 Definitions

In these Terms and Conditions, the following words carry the meanings set out below:

• "Agreement" means these Terms and Conditions together with any engagement letter or service proposal agreed in writing between the parties.
• "Service" means the business growth advisory services offered by Greyvane, including the Growth Focus Session, Growth Planning Advisory, and Sustainable Growth Programme.
• "User" or "You" means any individual or organisation accessing the Greyvane website or engaging our services.
• "We", "Us", "Our" refers to Greyvane, a business growth advisory firm operating from Level 14, Menara Prestige, Jalan Pinang, 50450 Kuala Lumpur, Malaysia.
• "Content" means all text, materials, documents, templates, and intellectual property made available through our website or delivered as part of a service engagement.
• "Session" means a scheduled advisory meeting conducted in person or remotely as part of a service package.

02 Acceptance of Terms

By accessing our website or engaging our services, you confirm that you have read and agree to be bound by these Terms. If you do not accept these Terms, please do not use our website or engage our services.

You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our services. Organisations engaging us through an employee or representative confirm that such person has authority to bind the organisation.

03 Service Description

Greyvane offers the following advisory services to organisations and owner-managers based primarily in Malaysia:

• Growth Focus Session (RM 490) — A single structured advisory session to help identify areas with room to develop, delivered with a one-page focus summary.
• Growth Planning Advisory (RM 2,210) — Four sessions turning a chosen direction into a sequenced, resource-aware plan, supported by planning templates.
• Sustainable Growth Programme (RM 4,560) — Ten sessions across twelve months addressing capacity, sequencing, and review habits, with full documentation and periodic reviews.

Service availability is subject to adviser scheduling and resource capacity. We will communicate any constraints or delays promptly.

04 User Responsibilities

Acceptable use

You agree to use our website and services for lawful purposes only, in a manner consistent with these Terms and applicable Malaysian law.

Prohibited activities

• Attempting to access systems or data without authorisation
• Transmitting harmful, misleading, or unlawful content through our contact channels
• Reproducing or distributing our proprietary materials without written consent
• Misrepresenting your identity or organisational affiliation
• Using any automated tool to scrape or harvest data from our website

Information accuracy

You are responsible for ensuring that information you provide to us is accurate and up to date. The quality of advice we can offer depends on the accuracy and completeness of what you share.

05 Intellectual Property

All content on the Greyvane website — including text, methodologies, templates, and visual design — is owned by Greyvane or its licensors and is protected under applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable licence to access and use the materials delivered to you as part of a service engagement solely for your own internal business purposes. You may not sublicense, resell, or publicly distribute these materials without our prior written agreement.

Any feedback, suggestions, or information you provide during an engagement remains your own; however, we may use anonymised learnings to improve our methods and offerings.

06 Payment Terms

Service fees are quoted and invoiced in Malaysian Ringgit (RM). Current fees are as listed on our website and confirmed in any engagement letter.

Payment schedule

• Growth Focus Session: Payment in full prior to the scheduled session.
• Growth Planning Advisory: 50% on engagement commencement; 50% prior to the third session.
• Sustainable Growth Programme: 30% on commencement; remainder in agreed quarterly instalments.

Payment methods

We accept bank transfer to account details provided in our invoice. Payment by other methods is subject to prior agreement.

Rescheduling and cancellation

Sessions may be rescheduled with at least 48 hours' notice at no charge. Cancellations with less than 48 hours' notice may incur a rescheduling fee equivalent to 20% of the single session value. We do not offer refunds on completed sessions. If we cancel an engagement at our discretion, fees paid for undelivered sessions will be refunded in full.

07 Service-Specific Terms

Scope and changes

The scope of each engagement is outlined in the engagement letter or service description agreed at the time of booking. Changes to scope require written agreement from both parties and may affect fees and timelines.

Confidentiality

We treat all information shared during an advisory engagement as confidential and do not disclose it to third parties without your consent, except where required by law.

Documentation

Session notes, summaries, and planning templates will be delivered electronically within five working days of each session unless otherwise agreed.

08 Disclaimers

Our advisory services are educational and strategic in nature. We share frameworks, observations, and approaches that may assist your decision-making. We do not provide financial, legal, accounting, or regulated professional advice.

All materials and sessions are provided on an "as is" basis. We make no representations about the suitability of our services for any particular purpose, and we do not make any commitment regarding specific business outcomes or results. The application of any advice we offer remains entirely at your discretion and responsibility.

09 Limitation of Liability

To the extent permitted by Malaysian law, Greyvane's aggregate liability for any claim arising out of or in connection with our services shall not exceed the total fees paid by you in the three months preceding the event giving rise to the claim.

We shall not be liable for any indirect, consequential, incidental, or special losses, including loss of profit, loss of data, or damage to reputation, whether or not we were advised of the possibility of such loss.

Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraudulent misrepresentation.

10 Indemnification

You agree to indemnify and hold Greyvane and its personnel harmless from any claims, losses, costs, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of our services in a manner not authorised by this Agreement, or any misrepresentation you have made in connection with your engagement.

11 Termination

Either party may terminate an engagement by providing 14 days' written notice. If you terminate an ongoing programme, fees for sessions already delivered are non-refundable. Greyvane may terminate an engagement immediately if you breach these Terms in a material way and fail to remedy the breach within 7 days of written notice.

Clauses relating to intellectual property, confidentiality, disclaimers, liability, and dispute resolution survive the termination of any engagement.

12 Dispute Resolution

These Terms are governed by the laws of Malaysia. Any dispute arising from or in connection with these Terms shall first be addressed through good-faith discussion between the parties.

If a dispute is not resolved through discussion within 30 days, either party may refer it to mediation under the rules of the Malaysian Mediation Centre before commencing legal proceedings. The courts of Malaysia shall have exclusive jurisdiction over any matters not resolved by mediation.

13 General Provisions

• Entire Agreement: These Terms constitute the entire agreement between the parties regarding use of our website and services, superseding prior discussions.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: A failure to enforce any right under these Terms does not constitute a waiver of that right.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
• Notices: Formal notices under these Terms should be sent to legal@{{DOMAIN}} or our registered address.

14 Changes to These Terms

We may update these Terms from time to time. The current version will always be available at {{DOMAIN}}/terms-conditions.html. Material changes will be communicated by a notice on our homepage. Continued use of our services after any revision constitutes acceptance of the updated Terms.
